iControl Privacy Policy

iControl Networks, Inc. ("iControl") is dedicated to maintaining and protecting your privacy, including the privacy of your personal information as well as your premises information. Accordingly, iControl has created the following Privacy Policy to let you know what information we collect when you use the iControl service (the "Service") and the iControl.com website (the "Site"), why we collect such information and how it is used. By using the Service (whether on a trial basis or through purchase of a subscription), you agree to the terms of this Privacy Policy. Your use of the Service and the Site is further governed by the iControl Terms of Use. All references to "us," "our" and "iControl" in this Agreement are intended to refer to iControl, Inc. and its affiliate entities. All references to "you," "your" and "user" in this Agreement are intended to refer to the subscriber to the Service (whether on a trial basis or through purchase of a subscription). We may periodically make changes to this Privacy Policy that we will include on this page. It is your responsibility to review this Privacy Policy frequently and remain informed about any changes to it, so we encourage you to visit this page often. If iControl makes a change to the Privacy Policy that we believe has material impact on you, we will notify you of such change by email.

 

A. Collection of Information

1. Personal Information.

a. Generally. iControl collects Personal Information (as defined below) from you and also automatically receives and records information on its server logs from your browser, which may include, but is not limited to, your IP address, cookie information, the page you request, usage and related attached devices. We consider information that may be used to identify an individual, including, but not limited to, a first and last name, home or other physical address, an email address, phone number or other contact information, whether at work or at home, or other sensitive information such as payment information and passwords, to be "Personal Information." When a user uses the Service, iControl's servers keep an activity log unique to that user that collects the following types of information: source IP address, time of access, date of access, web page(s) visited, type of browser used and connected devices. In general, you can visit the Site as a visitor without telling us who you are and without revealing any Personal Information about yourself but to sign up for the Service you need to provide Personal Information.

b. Setting Up and Updating an Account. In order to establish an iControl account, we will need the following Personal Information: your name, email address, payment information (credit card number, expiration date, billing address), shipping address and password. The password will allow you access to your account; as such, it needs to be as secure as possible. A good password includes seemingly random letters and numbers, and isn't obvious (such as names of a spouse, child, or pet). You can update your account information and change your password at any time. If you have forgotten your password, you can request a new one here or by contacting customer service.

c. Commerce Information. We may occasionally offer you the ability to make a transaction or participate in a promotion or survey and you may elect to provide Commerce Information in connection with such offers. "Commerce Information" means information that enables a commerce partner to fulfill your order or your request to participate in a promotion or survey, which may include Personal Information (such as name and shipping address), demographic information (such as zip code, age level), or attitudinal information. Participation in surveys or contests is completely voluntary.

d. Customer Service. Any contact with our customer service team or communication from you, such as chat, email, phone conversations or voicemail, may be recorded to help us provide better service.

2. Non-Personally Identifiable Information.. iControl also logs non-personally-identifiable information including IP address, profile information, aggregate user data, and browser type, from users and visitors to the site.

B. Information Use and Disclosure

1. Personal Information

a. Generally. iControl will not sell, lease, share or otherwise use your Personal Information except as set forth in this Privacy Policy.

b. Customer Service. iControl uses Personal Information to process your orders and to support your use of the Service. This information may be disclosed only to our staff and to third parties involved in the completion of your transaction and the provision of the Service.

c. iControl Promotions. iControl may also use the Personal Information it collects from you as well as any other information collected on the Site and disclose such information to our staff and/or agents to provide you with information regarding our products and promotions, to support your use of our products and services, to process any of your online transactions, and for any other purpose related to the operation of this Site and the programs, products and services offered on it.

d. Special Offers. If you provide Commerce Information in order to take advantage of a special offer or to purchase products and services from iControl, or third party advertisers or promoters, iControl may communicate your relevant Commerce Information and your interest in a specific offer or transaction to the commerce partner making the sale or sponsoring the promotion. In addition to fulfilling your request, that commerce partner may also use your Commerce Information to send you other information in which you might be interested consistent with its own privacy policies.

e. Affiliates. Your Personal Information may also be shared with iControl's affiliates for technical support and affiliate based promotions so that you can remain informed of product upgrades, special offers and the products and services of any iControl affiliates that relate to our Services.

2. Non-Personally Identifiable Information. iControl may use aggregated information regarding the use of the Service for promotional or other purposes. Additionally, data that is not personally identifiable is used to manage the website, track usage and improve the Service. This non-personally-identifiable information may be shared with third-parties to provide more relevant services and advertisements to users. User IP addresses are recorded for security and monitoring purposes.

3. Disclosure with a Change of Control. If we merge with, or are acquired by another company, or sell all or substantially all of our relevant assets, or file for bankruptcy, we may sell or share Personal Information and all other information you have provided to us to the acquirer and the resulting combined company will use the Personal Information you have provided as described in this policy.

C. Protecting the Privacy of Your Premises Information

The Service involves transmission of information about your premises, which may also include Personal Information ("Premises Information"). We are committed to keeping your premises information private and secure. We will not make your Premises Information that is transmitted through the Service publicly available.

In order to provide customer support, iControl employees and third party service providers may need to view your Premises Information. This will only be done with your consent.

iControl holds pictures and other Premises Information (stored in a system log) for a limited period of time. At the end of such time, all of this information is deleted from our servers.

Through the Service, you may have pictures or notifications sent to an email or SMS address. We will only use these email or SMS addresses for these purposes and will not add such addresses to a distribution list, and will not send further correspondence to such addresses unless the individual signs up and chooses to receive such communication from us per this Privacy Policy.

D. Protecting the Privacy of Children

The Service and Site are not intended for use by children under the age of 13. We do not knowingly collect personal information from children under the age of 13. Please do not use the Service if you are under the age of 13.

E. Security

iControl uses state-of-the-art protection, including Secure Socket Layer (SSL), to encrypt pages when collecting Personal Information and Premises Information. This measure is designed to guard against interception of this information while it is on the Internet. You can tell if you are using a secure page by looking at the bottom of your browser window where you will see a lock. If it's in a closed state, the page is encrypted.

iControl keeps the Personal Information and Premises Information you provide on servers that are protected against intrusion or unauthorized access by firewalls and other technological means. They are located in a physically secure facility, and only iControl employees and agents are given access to the information on a need-to-know basis.

F. Keeping You Informed Through Email and Mail

If you are registered for the Service, we will notify you in email or through the mail about new features, products and promotions. We may also send you information on carefully screened third parties whose products or services may be of interest to you. You may unsubscribe to these notification services through your account profile on the Site, replying the the email with "UNSUBSCRIBE" in the subject line or by contacting customer service. From time to time, we may send you service announcement updates with important information about iControl. Service announcements may contain information vital to your account, so members may not unsubscribe from these announcements.

G. Use of Cookies and other Technology

"Persistent Cookies" are small data files stored by your web browser on your computer's hard drive. Persistent cookies enable you to use our Site, but are not used by the Service. iControl never saves information, such as your password or your credit card number, in persistent cookies. You may modify your browser preferences to provide you with choices relating to cookies. If you chose to reject all cookies, you may not be able to access certain portions of the Site.

"Secure Session Cookies" are cookies that are only stored in your web browser's temporary memory rather than on your hard drive, so they are erased when the browser is closed. To provide secure access to the Service, a unique "session ID" is stored in a secure session cookie while you are logged in. This session ID expires when you log out of the Service or after a period of inactivity. The Service does not use your web browser to store any data on your machine, such as in persistent cookies. We may also use other technologies such as clear gifs, pixel tags, and scanning navigational data to collect anonymous information about our users in order to help us deliver better service and user experience. Anonymous information could include the web site you were on before coming to iControl, IP addresses, or areas of the site being clicked on most frequently.

At times, we may combine information collected from our Site and other information you shared with us to customize our Service to you and improve your experience. For example, we may recommend products or offers you may be interested in based on what you have liked in the past.

Our third party service providers may also use Cookies or other technologies to help us manage our marketing efforts (these include ad servers, outbound email vendors, affiliate vendors and search engine advertising agencies, and web analytics tools). iControl has carefully selected these service providers and instructed these service providers not to collect personally identifiable information or share the anonymous information with anyone other than iControl. H. Providing Services Through Third Parties

iControl shares Personal Information with carefully screened third party service providers for the sole purpose of providing you with the products, services and information you have requested. Examples of such third party service providers are credit card authorization companies, merchandise distributors and shippers. They do not store, retain or access your information except to provide our services to you. (However, if you have signed up for the Service directly through one of our partners, you should review their privacy policy).

We use contractors to help with some of our operations. Some of these contractors will have access to our databases of Personal Information on a temporary basis for specific tasks. iControl also uses vendors to help with certain aspects of its operations, which may require disclosure of your Personal Information to them. iControl contractually binds these contractors and vendors to use your Personal Information only as necessary to perform the services they are asked to perform. Such contractors and vendors are legally liable for misuse of Personal Information.

Finally, iControl may share very general information about our customers as a group with business partners, sponsors and other third parties. For example, we might say that a certain percentage of our customers are over the age of 35 or live in California.

I. Abiding by the Law

iControl may be required by law to disclose Personal Information or Premises Information to proper law enforcement authorities, even though you might have requested that we do not share such Personal Information. This information may be necessary to identify, contact or bring legal action against anyone who may attempt to cause injury to another's rights or property.

iControl may disclose your Personal Information or Premises Information if requested to do so by legal authorities, required to do so by law or believes in good faith that such action is necessary to: (1) conform to the edicts of the law or to comply with any legal process served on iControl or this Site; (2) protect and defend the rights or property of iControl; or (3) act to protect the personal safety of users of the Service or the Site or the public. Due to the potential for abuse of the Service, iControl reserves the right to provide the proper authorities with your Personal Information and Premises Information as well as any images or information related to child pornography or any other illegal activity found on your account.

J. Access

If you are interested in confirming the accuracy of the Personal Information iControl has collected about you, or if you would like to update your Personal Information or delete your Personal Information, you may log into your account and do so. If you have any complaint regarding iControl's use of your Personal Information, you may send it through iControl's customer service available by email at privacy@icontrol.com. If requested, iControl will delete or change any information you have provided to us. You may "opt-out" of any iControl marketing relationship we have with you either by choosing to opt-out where such option is available or by sending an email to privacy@ icontrol.com.

K. International Transfers

Personal Information may be stored and processed in the United States or any other country in which iControl or its affiliates or agents maintain facilities, and by using the Service and this Site, you consent to any such transfer of information outside of your country.

L. Third Party Practices

Any information that you provide to a third party website that links to or from the Site or any information collected by any third party is not governed by this Privacy Policy but by the privacy policy, if any, of such third party. If you have questions about a third party's information practices, please read its privacy policy. iControl assumes no responsibility or liability whatsoever for the practices, actions or policies of such third parties, and is not responsible for the content or privacy practices of such websites.

M. Termination

If you terminate your Service, we will maintain your Personal Information only as long as necessary for business purposes. In addition, although we delete your Personal Information from our "live" database, your Personal Information may remain in our archives and records until they are destroyed.

N. Contact Us

We will do our best to keep all your information up to date when you provide it to us, and to guard your privacy by continuously evaluating the enforcement and nature of our policies. If any of your personal information changes, or you identify a mistake in our records, please update your profile on the Site, or contact us and will update your data.
